Terms of Service

These Terms of Use ("Terms") govern your access to and use of the audit reporting software-as-a-service ("Service") provided by Soluwise BV, operating under the trade name AuditReporter.io ("we," "our," "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility
You may only use the Service if you are at least 18 years old and legally capable of entering into binding contracts under applicable law. By using the Service on behalf of a company or organization, you confirm that you are authorized to bind that entity to these Terms.
2. Use of the Service
You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended business purpose.
You agree not to:
Copy, modify, or create derivative works of the Service.
Reverse-engineer or attempt to extract the source code.
Use the Service in violation of applicable laws or regulations.
Interfere with or disrupt the integrity or performance of the Service.
3. Accounts
You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts suspected of misuse.
4. Subscriptions, Payment, and Termination
Certain features of the Service require a paid subscription. Fees, billing periods, and payment methods will be communicated during the subscription process.
All fees are non-refundable unless required by applicable law.
Termination: Subscriptions may be terminated by either party with a notice period of one (1) month. If termination occurs mid-month, the remaining portion of the month will not be credited.
Failure to pay may result in suspension or termination of your access.
5. Intellectual Property
All intellectual property rights in the Service, including software, design, and content, remain the property of Soluwise BV or its licensors.
Customer Content: All data, documents, reports, or other materials uploaded, created, or generated by you within the Service remain your sole property. We claim no ownership over customer content.
By using the Service, you grant us a limited license to host, process, and display such content solely to provide the Service.
6. Service Levels (SLA)
We commit to the following service levels:
Availability: 99.5% monthly uptime target. If this target is not met, you may request a service credit equal to the pro-rated portion of unavailability.
Support Response Time: Emails sent to our support address will be answered within 1 business day.
Business Hours: Support is available Monday–Friday, 09:00–17:00 (CEST), excluding Dutch public holidays.
7. Data and Privacy
We process personal and business data in accordance with our Privacy Policy.
You retain all rights to your data. By using the Service, you grant us a limited license to process such data as necessary to provide the Service.
We may engage subprocessors for hosting, payment, and analytics, as detailed in our Privacy Policy.
8. Data Processing Agreement (DPA)
This Data Processing Agreement ("DPA") forms part of these Terms and applies where we process personal data on your behalf as a processor under applicable data protection law.
8.1 Roles of the Parties
You act as the data controller; we act as the data processor.
We will only process personal data on documented instructions from you, unless required by law.
8.2 Subprocessors
We may use approved subprocessors (e.g., hosting providers, payment processors, analytics providers).
A current list is maintained in the Privacy Policy.
8.3 Security
We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, in line with ISO 27001 practices.
8.4 Confidentiality
All personnel authorized to process data are bound by confidentiality obligations.
8.5 Data Subject Rights
We will reasonably assist you in responding to data subject requests (e.g., access, deletion, rectification).
8.6 Data Breach Notification
We will notify you without undue delay upon becoming aware of a personal data breach.
8.7 Data Transfers
Where data is transferred outside the EEA, we ensure appropriate safeguards in compliance with GDPR (e.g., Standard Contractual Clauses).
8.8 Return or Deletion of Data
Upon termination of the Service, we will delete or return all customer data upon request, unless retention is required by law.
9. Availability and Support
We aim to provide continuous availability of the Service, subject to the SLA in Section 6.
Planned maintenance will be communicated in advance where possible.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including fitness for a particular purpose, reliability, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law:
We shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
Our total liability for any claims arising out of or related to the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
12. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Netherlands. Any disputes will be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
13. Changes to the Terms
We reserve the right to modify or update these Terms at any time at our sole discretion. When we make changes, we will notify the designated admin contact for your account via email at least 30 days before the changes take effect. Material changes will also be announced on our website. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your subscription before the changes become effective.
